SoundPass Terms of Service

Please read these terms before creating a SoundPass account or booking flights. By using SoundPass, you agree to be bound by this agreement.

These SoundPass Terms of Service ("Terms") govern your use of the SoundPass membership program, booking platform, and related services offered by Citizen Air, LLC ("Citizen Air," "we," "us") at flycitizenair.com/sound-pass and app.soundpass.flycitizenair.com (collectively, the "Platform"). By creating an account, paying membership fees, or booking travel through SoundPass, you agree to these Terms.

Acceptance of Terms

By accessing or using the Platform, you represent that you are at least 18 years of age and agree to these Terms and all applicable laws and regulations. If you do not agree, you may not use SoundPass.

We may update these Terms from time to time. Continued use of SoundPass after changes are posted constitutes acceptance of the revised Terms. Material changes may also be communicated by email or in-app notice where appropriate.

SoundPass Membership

SoundPass is a regional flight pass membership program. Members pay recurring membership fees according to the tier selected at signup and may access booking features, route notifications, and eligible shared-seat or charter travel subject to aircraft and crew availability.

Membership benefits, pricing, and service areas are described on the Platform and may change with notice. Membership fees are generally non-transferable unless we expressly allow otherwise in writing.

Flight Services and Operational Control

Flights arranged through SoundPass are operated by Citizen Air under FAA Part 135 air carrier certificate #RTEA813H or, where disclosed, by an approved third-party Part 135 operator. Citizen Air maintains operational control of flights it operates directly.

SoundPass helps members discover, book, and share regional air travel. It does not operate as a commercial airline with published schedules. All flights remain subject to weather, crew duty, maintenance, security, and regulatory constraints.

Booking and Shared Seats

Members may book whole-aircraft charters or purchase seats on eligible SoundPass flights offered by other members, subject to availability and Platform rules displayed at booking.

When you offer seats on a flight you charter, you authorize Citizen Air to share limited booking details with prospective seat purchasers as needed to complete the trip. You are responsible for ensuring passenger information you provide is accurate and complete.

Pricing shown at checkout reflects the quote available at that time. Final charges may include taxes, fees, or adjustments disclosed before payment confirmation.

Payments and Billing

You agree to provide current, complete, and accurate payment and account information. Membership fees renew according to your selected billing cycle until canceled in accordance with these Terms.

Flight bookings, seat purchases, and related charges are processed at the time of booking unless otherwise stated. Failed payments may result in suspended membership or canceled reservations.

Charter trips may also be subject to Citizen Air Charter Quote Terms & Conditions at /terms, which are incorporated by reference where applicable to a specific charter booking.

Cancellations, Changes, and Refunds

Cancellation and change policies depend on whether you are canceling membership, a seat booking, or a charter you initiated. Policies displayed at checkout, in your account, or in booking confirmations control for that transaction.

As a general guideline:

  • Membership cancellations stop future billing but may not refund prior billing periods unless required by law or expressly stated in your tier terms
  • Seat and flight cancellations may be subject to timing-based fees similar to charter cancellation windows
  • If Citizen Air cancels a flight for operational or safety reasons, eligible refunds or credits will be handled according to the policy shown for that booking

Member Conduct

You agree to use SoundPass lawfully and respectfully. You may not:

  • Provide false identity, payment, or passenger information
  • Interfere with Platform security or attempt unauthorized access
  • Use SoundPass for unlawful resale of air transportation except as expressly permitted
  • Harass crew, staff, or other members

Citizen Air may suspend or terminate accounts that violate these Terms or create safety, security, or operational risk. Additional conduct requirements applicable onboard aircraft are set out in Citizen Air charter and carriage policies.

Intellectual Property

The Platform, SoundPass branding, content, and software are owned by Citizen Air or its licensors. We grant you a limited, non-exclusive license to use the Platform for personal membership purposes. You may not copy, scrape, reverse engineer, or redistribute Platform materials except as permitted by law.

Disclaimer

THE PLATFORM AND SOUNDPASS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CITIZEN AIR DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE AVAILABILITY OF ANY ROUTE, AIRCRAFT, SEAT, OR PRICE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CITIZEN AIR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF SOUNDPASS, INCLUDING LOST PROFITS, LOST TRAVEL OPPORTUNITIES, OR DATA LOSS.

CITIZEN AIR'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO SOUNDPASS MEMBERSHIP OR PLATFORM USE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO CITIZEN AIR FOR SOUNDPASS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms limits liability that cannot be limited under applicable law, including certain aviation liability frameworks that may apply to carriage itself.

Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Except where prohibited, disputes arising out of SoundPass membership or Platform use will be resolved in the state or federal courts located in Washington, and you consent to their jurisdiction.

Charter-specific disputes may also be subject to the arbitration and governing law provisions in the Citizen Air Charter Quote Terms & Conditions when those terms apply to your trip.
